• "Buyer"refers to any individual or entity that purchases products or services through the Platform.
• "Content"refers to all information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials that are posted, uploaded, or otherwise transmitted via the Platform.
• "OEM"refers to Original Equipment Manufacturer.

Account Registration and Eligibility

To access certain features of the Platform, you must register for an account. When you register, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device.

By registering for an account, you represent and warrant that:

• You are a business entity or representing a business entity authorized to conduct business transactions.
• You are at least 18 years of age.
• You have the legal capacity to enter into binding contracts.
• You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

SkySecure reserves the right to refuse service, terminate accounts, remove or edit Content, or cancel orders at our sole discretion.

Marketplace Operations

Payments and Fees

SkySecure charges fees for the use of certain features of the Platform. These fees are described on the Platform and may be updated from time to time. By using the Platform, you agree to pay all applicable fees.

Payment processing on the Platform is handled by third-party payment processors. By using the Platform, you agree to comply with the terms and conditions of these payment processors.

All payments made through the Platform are subject to our Payment Policy, which is incorporated by reference into these Terms.

Intellectual Property

The Platform and its original content, features, and functionality are owned by SkySecure and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

By posting, uploading, or otherwise transmitting Content on or through the Platform, you grant SkySecure a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content in connection with providing and promoting the Platform.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the foregoing license to SkySecure.

Limitation of Liability

To the maximum extent permitted by law, SkySecure shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall SkySecure's total liability to you for all claims arising from or relating to these Terms or your use of the Platform exceed the amount paid by you to SkySecure during the twelve (12) months preceding the event giving rise to the liability.

Disclaimer

Indemnification

You agree to defend, indemnify, and hold harmless SkySecure and its licensees, licensors, affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms.

Termination

SkySecure may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

SkySecure reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.
